This Services Agreement (“Agreement”) is a legal contract between EquiPixel and the Client. It is formed upon the Client’s acceptance of the EquiPixel Terms and Conditions, as outlined below.

Definitions:

Client” refers to the company, organization, or entity identified during EquiPixel’s account registration process.

EquiPixel” designates the company associated with the Client’s location and with which the Client contracts.

By creating a client account and requesting services as described herein, the Client agrees to abide by the EquiPixel Terms and Conditions. If the Client disagrees with these terms, please do not proceed. EquiPixel assumes that any individual accepting these terms on behalf of the Client possesses the necessary authority to do so.

EquiPixel Terms & Conditions

These terms and conditions govern the Agreement, superseding all other terms and conditions.

1. Definitions and Interpretation:

• Authorised Users” are individuals authorized by the Client to use the Platform.
• Case” pertains to the details of an animal patient case, including all Client Materials related to it, submitted to EquiPixel.
• Client Materials” include materials, images, documents, and information provided by the Client.
• Confidential Information” comprises information marked as confidential or information that, by nature or circumstances, should be treated as such.
• Contract Year” refers to a 12-month period beginning on the Effective Date.
• Effective Date” designates the date when the Client accepts this Agreement.
• Fees” encompass various fees associated with the Services.
• Intellectual Property Rights” include patents, copyrights, trademarks, and other intellectual property rights.
• Platform” refers to EquiPixel’s platform available to the Client and its Authorized Users through the EquiPixel Website.
• Report” pertains to reports prepared by EquiPixel for the Client in relation to a Case.
• Responsible Vet” designates the veterinarian responsible for the animal patient.
• Service Output” includes Reports and other materials provided by EquiPixel during the Services.
• Services” encompass Teleradiology Services, Teleconsulting Services, and other services chosen by the Client and accepted by EquiPixel.
• Teleconsulting Services” refer to services described on the EquiPixel Website and in the EquiPixel services brochure.
• Teleradiology Services” pertain to services described on the EquiPixel Website and in the EquiPixel services brochure.
• Term” has the meaning defined in clause 10.1.
• EquiPixel Website” is www.equipixel.com.

2. Services:

EquiPixel will provide Services to the Client with reasonable care and skill, following the terms of this Agreement. Turnaround times will be as specified by EquiPixel.

3. Service Output:

EquiPixel retains ownership of all intellectual property rights in the Service Output. A license is granted to the Client for specific purposes.

4. Client Responsibilities:

The Client is responsible for obtaining necessary licenses and permissions, complying with applicable laws, and ensuring the Responsible Vet interprets and applies Reports appropriately.

5. Client Materials:

The Client retains ownership of intellectual property rights in Client Materials. EquiPixel may use anonymized versions of Client Materials for specific purposes.

6. Platform:

EquiPixel owns all Intellectual Property Rights in the Platform and grants the Client a license to use it.

7. Fees and Payment:

Fees are invoiced by EquiPixel and are due within 14 days. EquiPixel may adjust prices with notice.

8. Liability:

EquiPixel’s liability is limited in various circumstances, as specified in this Agreement.

9. Confidentiality:

Both parties shall treat Confidential Information as confidential, with exceptions as outlined in this Agreement.

10. Term and Termination:

The Agreement starts on the Effective Date and continues until terminated. Termination options and consequences are detailed.

11. Non-Solicitation and Non-Compete:

To protect EquiPixel’s interests, the Client agrees to certain restrictions post-termination.

12. Notices:

All notices must be in writing and delivered as specified in this Agreement.

13. Miscellaneous:

Various provisions, including governing law and dispute resolution, are outlined.

This Agreement is the entire understanding between the parties and may be amended only in writing. In case of a legal dispute, the laws of Germany apply, and the exclusive jurisdiction of their courts is accepted.
